If so, SBS has a generous Lead Referral Program. Just read and agree to the Lead Referral Fee Agreement below and fill out our submission form...it's that simple! You could earn up to 10% on all consulting fees we receive due to your lead submission. After we receive your lead information, we will contact you within 10 business days via email if your lead is qualified and approved for potential customer prospect contact. SBS NETWORK AFFILIATES REFERRAL FEE AGREEMENT THIS Referral FEE AGREEMENT (Agreement) is entered into by and between the submitter (Submitter) and SBS Consulting and Distribution, Inc. (SBS) a Florida corporation, with its principal office at 11740 N.W. 71st Place, Parkland, FL 33076. Submitter has a contact, connection, or may know of someone or some organization for a specific project that may require SBS expertise, and which Submitter wishes to refer to SBS (Referral). If the Submitter agrees to all Terms and Conditions herein and completes and submits truthful, relevant, and up to date information to all questions on the SBS Lead Referral Form, Submitter will receive a Confirmation Number from SBS. SBS will evaluate the submitted Referral, and may Reject or Confirm, at SBS's discretion, such Referral within Ten (10) business days of submission. Finder will complete the Lead Referral Form. This Agreement will cover the Referral identified on the submitted Referral Form. Submitter agrees to forward to SBS information concerning the Referral, but will take no further action with respect to such Referral unless SBS authorizes in writing for Submitter to do so. At SBS's occaisonal request, Submitter agrees to formally introduce SBS to the Referral. Such introduction may be by telephone conference call or by an in-person meeting, based upon SBS's and the Submitter's mutual agreement. For their referral, Submitter shall receive a 10% commission on billings for this specific potential project prospect (Commission) calculated by the consulting fees (less taxes and expenses) received by SBS for consulting services performed by SBS as a result of Finder's referall or introductions (Fees). SBS shall pay the Commission within thirty (30) days of receipt by SBS of payment in full for the consulting services performed for the Referral. Finder shall not be entitled to any additional compensation or expense reimbursement. SBS reserves the right to split or reduce commissions if multiple parties or personnel receive credit for the same introduction.In the event of questions regarding who should receive credit for an introduction or whether an introduction resulted in Consulting Services, those questions will be resolved, after consultation with the affected parties or personnel, by the President of SBS, whose judgment will be final. Submitter agrees to preserve in strictest confidence all Confidential Information of SBS, and Finder agrees not to use, or disclose to any person or persons, any confidential information acquired while this Agreement is in effect and thereafter, except upon SBS's authorization, and except for internal purposes confined to the necessary administration. For purposes of this Agreement, confidential information shall mean any competitively sensitive or secret business, marketing, or technical information disclosed by SBS to the Submitter. In all cases, Confidential Information shall include any information or documents acquired by the Submitter pertaining to SBS's business, and the terms of this Agreement. Confidential information will at all times be protected through the highest commercially reasonable standard of care. Submitter shall not provide any confidential information to other contractors or consultants under any circumstances. Notwithstanding the foregoing, confidential information does not include information already in the public domain, or in the rightful possession of the other party at the time of its disclosure, or disclosed as a matter of right by a third party after the execution of this Agreement, or that enters the public domain other than by the unauthorized acts of any person. Within thirty (30) days after SBS's request, or upon termination of this Agreement (whichever first occurs), all materials or media containing any confidential information (including any information, records, and materials developed on the basis thereof) will be either returned or destroyed by Submitter, and Submitter agrees to certify their compliance with such obligation upon the request of SBS. Submitter and SBS are Independent Contractors under this Agreement, and nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship between the parties. Submitter shall bear sole responsibility for payment of taxes owed by Finder on the Commissions. Neither Finder nor SBS shall have any authority to enter into agreement of any kind on behalf of the other party. This Agreement constitutes the entire understanding between the parties and supercedes all prior agreements and understandings of the parties of any kind whatsoever and pertaining to any subject matter, whether written, oral, or otherwise, and may be altered or amended only in writing and signed by both parties. This Agreement shall be governed by the laws of the State of Florida. Venue shall be in Broward County, Florida. This Agreement shall be interpreted in accordance with the plain meaning of its terms and not strictly for or against either of the parties. In the event of any dispute with respect to this Agreement, the prevailing party shall be entitled to reasonable attorneys fees and other costs and expenses incurred in resolving such dispute.
